STATEMENT UNDER GENERAL INSTRUCTION E - REGISTRATION OF ADDITIONAL SECURITIES Pursuant to General Instruction E of Form S-8, this Registration Statement is filed solely to register an additional 3,500,000 shares of common stock, par value $0.01 per share, of the Registrant reserved for issuance under the Registrant's Amended and Restated Stock Option Plan. This increase was approved by the Board of Directors of the Registrant on September 25, 1997, and that decision was ratified by the Registrant's shareholders on November 25, 1997.
